Agreeing to these terms
These Terms & Conditions are an agreement between you and SphinxTEK LLC (“SphinxTEK”, “we”, “us”). They cover your use of sphinxtek.net and any software, downloads or services we make available through it.
By using the site you agree to these terms. If you do not agree, please do not use the site. If you are using it on behalf of a school, team or organization, you are agreeing on its behalf and confirm you are allowed to.
Using this website
You may browse the site and share links to it for any lawful purpose. You agree not to:
- try to get into parts of the site, our servers or our accounts that are not meant for you;
- interfere with the site’s operation, including by overloading it or sending malicious code;
- copy the site’s content in bulk, or present it as your own;
- use the contact form to send spam, or information you do not have the right to share.
Custom projects
Most of our work is built to order. Before we start a project we agree the scope, schedule, price and ownership with you in writing — a proposal, statement of work or contract.
Where that written agreement says something different from these terms, the written agreement wins. A conversation through the contact form is not a commitment by either side until that agreement is signed.
Software we provide
When we make software available to you — a download, a hosted application, or a build delivered for a project — you may use it as described in its own licence or project agreement. If it comes with neither, you get a personal, non-transferable, revocable licence to use it for its intended purpose.
Unless we agree otherwise, you may not resell it, remove our notices from it, or reverse-engineer it except where the law allows you to.
Our content and your content
The SphinxTEK name, logo, site design and text belong to SphinxTEK LLC. Nothing in these terms gives you the right to use them, other than to refer to us accurately.
Anything you send us — a project description, files, feedback — stays yours. You give us permission to use it only as needed to reply to you and do the work you asked for. Ownership of code written for a client project is set by that project’s agreement.
Your information
When you contact us, we keep your name, email address and message so we can reply and keep a record of the conversation. We do not sell it and do not use it for advertising. To have it deleted, email us at the address below.
Our site is hosted by Cloudflare, which processes basic request data (such as IP address) to deliver and protect the site.
Other sites and services
The site links to services we do not run, such as GitHub. We are not responsible for their content or practices, and their own terms apply when you use them.
No warranty
The site and anything offered through it free of charge are provided “as is” and “as available”. To the extent the law allows, we make no promises that they will be uninterrupted, error-free or fit for a particular purpose. Warranties for paid work are the ones in that project’s agreement.
Limits on our liability
To the extent the law allows, SphinxTEK is not liable for indirect, incidental or consequential losses — such as lost data, profits or opportunities — arising from your use of the site or free software. Our total liability for anything relating to the site is limited to US$100.
Nothing here limits liability that cannot legally be limited.
Your responsibility
If you break these terms or the law while using the site, and someone makes a claim against SphinxTEK because of it, you agree to cover the reasonable costs that claim causes us.
Governing law
These terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-law rules. Any dispute will be handled by the state or federal courts serving Lake County, Ohio, and you agree to their jurisdiction.
Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they last changed. Continuing to use the site after a change means you accept the updated terms.
